Terms of Service

1. Acceptance of Terms

By accessing or using CW Timer, operated by CW Timer, LLC("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including administrators, service managers, and time loggers. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

CW Timer is a software-as-a-service (SaaS) time tracking tool designed for managed service providers (MSPs) that use ConnectWise Manage. The Service allows users to start and stop timers, log time entries, and synchronize data with their ConnectWise Manage instance. The Service is accessible at cwtimer.app.

3. Account Registration

To use CW Timer, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at hello@mflit.com if you become aware of any unauthorized use of your account.

4. Subscription and Billing

4.1 Free Trial

New accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the Service. Your trial will simply stop if you choose not to subscribe — there is no automatic charge.

4.2 Pricing

CW Timer is billed at $15 per user per month for users with the Time Logger role. Admin and Service Manager roles are free and do not require a paid seat unless time logging is enabled for those roles. You may add or remove users at any time, and billing adjusts accordingly.

4.3 Payment

All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You are responsible for keeping your payment information current.

4.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to the Service through the end of your current billing period.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, viruses, or other harmful code
• Resell, sublicense, or redistribute the Service without our written consent
• Use automated means to scrape or extract data from the Service
• Impersonate any person or entity, or falsely state or misrepresent your affiliation

6. ConnectWise Integration

CW Timer integrates with ConnectWise Manage using API credentials that you provide. By connecting your ConnectWise instance, you authorize CW Timer to act as your agent to read and write time entries, access ticket and charge code data, and perform related operations within your ConnectWise environment.

You represent that you have the authority to grant this access and that your use of CW Timer with ConnectWise Manage complies with your ConnectWise license agreement. We are not affiliated with or endorsed by ConnectWise. ConnectWise and ConnectWise Manage are trademarks of ConnectWise, LLC.

You are responsible for the security of the API credentials you provide. We encrypt these credentials at rest, but you should use credentials with the minimum permissions necessary for the Service to function.

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the intellectual property of CW Timer, LLC and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

You retain all rights to the data you input into the Service, including time entries and account information.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. We may perform scheduled maintenance, deploy updates, or experience outages that temporarily affect availability.

We do not offer a formal service level agreement (SLA). We will make commercially reasonable efforts to minimize downtime and communicate any planned maintenance in advance.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CW Timer, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total cumulative liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless CW Timer, LLCfrom and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may cancel your subscription and close your account at any time. Upon cancellation, you will retain access through the end of your current billing period.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately.

Upon account closure, your data will be handled in accordance with our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
